雷人的协议

近日，馆里在签订一家外文数据库的服务协议。老外做事认真，拟定的数据库协议与学位论文相似，先进行“词语含义的定义”，然后才进入“协议”、“版权”、“使用权利”等等主题，洋洋洒洒14页。
其中有几条，颇为有趣：
之一：AUDITS AND INSPECTIONS 审核及检查
For the purpose of verifying compliance with this Agreement (including the Schedules attached thereto), the Publisher shall have the right, during normal business hours upon reasonable dvance notice and without material disruption to Licensee’s business, to audit and inspect fromtime to time Licensee’s offices, books and records relevant to the Licensed Materials and to observe the use made of the Licensed Materials. If the audit or inspection reveals an underpayment that exceeds 5 per cent of the Fee due during the relevant period, Licensee shall reimburse the Publisher for its reasonable costs associated with such audit or inspection.
基于检查对本协议（包括附件）履行情况的目的，出版方应有权在正常工作时间，在提前通知且对被授权人的工作不产生实质妨碍的情况下，随时对被授权人与被授权材料有关的办公室、书籍和档案进行审核和检查，并观察对被授权材料制品的使用情况。如审核或检查发现被授权人少支付的费用超过在相关期限内应支付费用的5%，则被授权人应对出版人在审核或检查时产生的合理费用做出补偿。
解读：被授权人，按照协议的定义为，被授权使用者可包括被授权机构的工作人员（无论是长期员工、临时员工 或合同员工）或当前在被授权机构学习的个人。按照这条协议，出版方可以随时对俺们的办公室、书籍和档案进行审核和检查？严重被雷！
受到质疑后，对方很快将这些字句去除，并进行了修改。
之二：
the accuracy of anytranslations of contracts, promotional material, and documentation. In the case of anyissue, the English version of such documents shall prevail.
对所有合同、宣传材料和文件的准确翻译。在任何情况下，这些文件以英文版本为准。
解读：俺们英文不够好，就依据您发来的中文协议咬文嚼字地在看，并签约，不行吗？中英文版本能不能同等有效？听说Calis就此条协议内容，也提出了疑问。
此外，还有诸如受哪国法律保护等问题。
附：明天是一友人（亦师亦友）博士论文答辩，寒窗苦读数年，终于要大功告成了。遥祝答辩顺利、成功！

其实这个条款不可怕，主要看这里： the Publisher shall have the right 俺的理解是：出版商理应有权。。。这样的文本法律上的约束力不强，按照俺们中国人的理解。关键是这里： the accuracy of anytranslations of contracts, promotional material, and documentation. In the case of anyissue, the English version of such documents shall prevail.这是最狗日的霸王条款，把这条文本删了才是最为妥当的，呵呵。
